Terms of Service

These Terms of Service ("Terms") govern your access to and use of Beez and all related services (the "Service") provided by BAC (BOOKING APPOINTMENT COWLENDAR), SIRET 98928406200019, 14 Rue Charles V, 75004 Paris, France ("we", "us", "our"). By installing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of the Service

Beez is a Shopify app that enables Shopify merchants ("Merchants") to offer subscription billing, bundle offers, and recurring purchase flows to their end customers. The Service includes the Shopify app, the merchant admin dashboard, customer-facing subscription portal, and associated APIs.

2. Eligibility & Account Registration

To use the Service, you must: (a) have an active Shopify store; (b) be at least 18 years old and have the legal capacity to enter into binding agreements; (c) have accepted Shopify's Terms of Service; and (d) provide accurate, complete registration information.

You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. Notify us immediately at hello@subscribee.app if you suspect unauthorized access.

3. Subscriptions & Billing

Access to premium features of the Service is subject to a paid subscription plan. Fees are billed through the Shopify Billing API on a recurring monthly or annual basis, depending on your chosen plan. All prices are displayed exclusive of applicable taxes unless stated otherwise.

We reserve the right to modify our pricing with 30 days' prior notice. Continued use of the Service after a price change constitutes acceptance of the new pricing. Subscriptions automatically renew unless cancelled before the renewal date via the Shopify app admin.

Refunds are handled at our discretion. If you experience a technical failure attributable to us that significantly impairs the Service, you may request a pro-rated refund for the affected period by contacting us within 14 days.

4. Merchant Obligations

As a Merchant using the Service, you agree to:

  • Comply with all applicable laws, including consumer protection, data privacy, and e-commerce regulations in your jurisdiction.
  • Accurately represent your subscription terms to your end customers, including pricing, billing frequency, and cancellation policies.
  • Provide a clear and accessible cancellation mechanism to your subscribers as required by applicable law.
  • Not use the Service for any fraudulent, deceptive, or unlawful purposes.
  • Not attempt to reverse-engineer, decompile, or extract source code from the Service.
  • Not use the Service to distribute malware, spam, or any harmful content.

5. Data Processing

When you use Beez, you may transmit personal data of your end customers to us in order to process subscriptions. In this context, you act as the data controller and we act as the data processor. We process such data strictly in accordance with our Privacy Policy and a Data Processing Agreement ("DPA") incorporated herein by reference.

You are responsible for ensuring that you have obtained valid consent from your end customers for any personal data processing performed through the Service, and for responding to data subject requests relating to your customers' data.

6. Intellectual Property

All intellectual property rights in and to the Service — including software, design, trademarks, and content — are owned by or licensed to BAC (BOOKING APPOINTMENT COWLENDAR). These Terms do not grant you any ownership rights in the Service. You receive only a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes.

You retain ownership of all data, content, and branding you upload to the Service. By using the Service, you grant us a limited license to use such content solely to provide and improve the Service.

7. Availability & Uptime

We strive to maintain high availability of the Service. Planned maintenance windows will be announced in advance where possible. We do not guarantee uninterrupted, error-free access to the Service. In the event of a critical outage, we will communicate status updates via our status page.

We are not liable for downtime caused by circumstances outside our reasonable control, including but not limited to Shopify platform issues, third-party provider outages, or force majeure events.

8. Limitation of Liability

To the maximum extent permitted by applicable law, BAC (BOOKING APPOINTMENT COWLENDAR) shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost revenue, or loss of data arising from your use of or inability to use the Service.

Our total aggregate liability to you for any claims arising under or related to these Terms shall not exceed the fees paid by you to us in the 12 months immediately preceding the event giving rise to the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless BAC (BOOKING APPOINTMENT COWLENDAR) and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service in violation of these Terms; (b) your violation of any applicable law or third-party rights; or (c) any subscription terms you present to your end customers.

10. Termination

Either party may terminate the agreement at any time. You may cancel your subscription at any time through the Shopify app admin. Cancellation takes effect at the end of the current billing period; you will retain access until then.

We may suspend or terminate your access to the Service immediately and without prior notice if you materially breach these Terms, engage in fraudulent activity, or fail to pay applicable fees. Upon termination, your right to use the Service ceases and we may delete your data in accordance with our retention policy.

11. Modifications to the Terms

We may update these Terms from time to time. We will notify you of material changes at least 30 days in advance via email or in-app notification. Continued use of the Service after the effective date of updated Terms constitutes your acceptance. If you do not agree to the changes, you must stop using the Service before the changes take effect.

12. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of France, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to the exclusive jurisdiction of the courts of Paris, France.

If you are a consumer located in the EU, you may also submit your dispute to the EU's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
